General Terms and Conditions – Novi8 Water B.V.

1. Definitions

1.1 Novi8 Water: Novi8 Water B.V., located at Jameswattstraat 8, 1817 DC Alkmaar.
1.2 Customer: any natural person or legal entity that places an order via the webshop and/or enters into an agreement with Novi8 Water.
1.3 Consumer: a Customer who is a natural person and acts for purposes outside their business or professional activity.
1.4 Business Customer: a Customer who acts in the exercise of a profession or business.
1.5 Agreement: the purchase agreement that is concluded between Novi8 Water and the Customer via the webshop.
1.6 Products: water in 500 ml Tetra Pak packaging and any related products offered by Novi8 Water.
1.7 In Writing: by email or by letter.

2. Applicability

2.1 These general terms and conditions apply to all offers, orders and Agreements via the Novi8 Water webshop.
2.2 Deviations are only valid if agreed to In Writing.
2.3 Any (purchase) conditions of the Customer are expressly rejected.
2.4 If a provision proves to be void or voidable, the remaining provisions will remain in effect. The parties will replace the invalid provision with a provision that approximates the purpose as much as possible.

3. Offer and formation of agreement

3.1 All offers in the webshop are without obligation, as long as stocks last.
3.2 Obvious errors or mistakes (such as price or typing errors) do not bind Novi8 Water.
3.3 The Agreement is concluded at the moment the Customer completes the order and Novi8 Water confirms the order (e.g. by email), or at the moment Novi8 Water starts the execution.

4. Prices

4.1 All prices are in euros and include VAT for Consumers, unless explicitly stated otherwise.
4.2 For Business Customers, prices are shown including or excluding VAT as indicated in the webshop.
4.3 Shipping costs and any other costs are clearly stated before completing the order.
4.4 Novi8 Water may change prices. A price change does not affect an Agreement that has already been concluded.

5. Payment

5.1 Payment takes place via the payment methods offered in the webshop.
5.2 Novi8 Water is entitled to refuse an order or set additional conditions, for example in the event of exceptional order quantities or (suspicion of) abuse.

6. Delivery and delivery time

6.1 Novi8 Water delivers to the delivery address specified by the Customer in the Netherlands, unless stated otherwise in the webshop.
6.2 Specified delivery times are indicative and not strict deadlines.
6.3 If delivery is delayed, the Customer will receive a notification. In the event of an unreasonably long delay, the Consumer may terminate the Agreement free of charge.
6.4 The risk of damage or loss passes to Consumers at the moment of delivery to the Customer (or a previously designated third party). For Business Customers, the risk passes upon delivery to the delivery address.

7. Inspection and complaints

7.1 The Customer must check the delivery immediately upon receipt.
7.2 Complaints about damage, incorrect delivery or missing products must be reported within 48 hours of receipt In Writing via info@novi8water.com, with (where possible) photos and order number.
7.3 In the event of a timely and well-founded complaint, Novi8 Water will, at its option, redeliver, replace or (partially) credit free of charge.

8. Returns and right of withdrawal (Consumers)

8.1 In principle, the Consumer has the right to withdraw from the Agreement within 14 days without stating reasons (statutory cooling-off period), counting from the day after receipt of the order.
8.2 Please note – exceptions (food): Many products that are designated as perishable or are not suitable for return for reasons of health protection/hygiene may be excluded from the right of withdrawal. For sealed consumer goods, the right of withdrawal may lapse as soon as the seal has been broken.

8.3 If withdrawal does apply and Novi8 Water accepts the return, the following applies:

• the Consumer reports the withdrawal In Writing within 14 days;

• the Consumer then returns the products within 14 days;

• return costs are for the account of the Consumer, unless otherwise agreed;

• Novi8 Water will reimburse the purchase amount (and standard shipping costs) within 14 days of notification of withdrawal, provided that the product has been received back or proof of return has been provided.

  8.4 Products must be returned unopened, undamaged and, if reasonably possible, in their original packaging.

(Tip: because you sell “water as a consumer good”: if your packs are not perishable but are “sealed”/food, it is wise to explicitly state on your return page when you do/do not accept returns. I can refine this clause exactly based on how you package/seal and your return policy.)

9. Statutory warranty and conformity

9.1 The legal conformity applies to Consumers: the product must meet what the Consumer may reasonably expect.
9.2 For Business Customers, they must inspect delivered products immediately; in the event of defects, notification must take place no later than 7 days after discovery.

10. Liability

10.1 Novi8 Water is only liable for direct damage that is the result of an attributable shortcoming.
10.2 Liability is limited to the amount of the order to which the liability relates, with a maximum of the amount paid out by the liability insurer.
10.3 Novi8 Water is not liable for indirect damage (such as consequential damage, lost profit, missed savings).
10.4 These limitations do not apply in the event of intent or deliberate recklessness on the part of Novi8 Water and not to liability that cannot be excluded by mandatory law (especially for Consumers).

11. Force majeure

11.1 Force majeure means any circumstance beyond the control of Novi8 Water as a result of which compliance cannot reasonably be required, such as delivery problems at suppliers, transport delays, strikes, malfunctions, fire, government measures or extreme weather conditions.
11.2 In the event of force majeure, Novi8 Water may suspend the execution. If the situation lasts longer than 30 days, both parties may terminate the Agreement without compensation.

12. Intellectual property

12.1 All intellectual property rights with regard to the webshop, texts, images, logos and other content rest with Novi8 Water or its licensors.
12.2 Nothing from the webshop may be reproduced or made public without prior Written permission.

13. Privacy

13.1 Novi8 Water processes personal data in accordance with applicable privacy legislation (GDPR) and its privacy statement on the website.

14. Applicable law and disputes

14.1 All Agreements are governed by Dutch law.
14.2 Disputes will be submitted to the competent court in the district where Novi8 Water is located, unless otherwise stipulated by mandatory law. Consumers may also litigate in the court of their place of residence.
